Terms of Service

These Terms govern your use of the Techalyst Software Inc. ("Techalyst", "we", "us") website and any services or products you purchase from us. By using our services, you agree to these Terms.

1. Accounts

You are responsible for keeping your account credentials secure and for the activity on your account. Notify us immediately of any unauthorised use.

2. Acceptable use

Do not use our services to break the law, infringe others' rights, distribute malware, or interfere with the service for other users.

3. Subscriptions, payments and billing

Paid services are billed in advance on a one-time, monthly or annual basis as selected. For subscriptions, you authorise us to charge your chosen payment method on each renewal until you cancel. Payments are processed securely by Stripe; we do not store your full card details. All amounts are in Canadian Dollars (CAD) unless stated otherwise.

4. Refund policy

Refunds depend on the purchase model and on any money-back guarantee shown on the product's price card. For a plain-language overview of each option, see our Licensing & Refunds page.

  • Free downloads: no charge, so no refund applies.
  • Buy & Download (one-time): if a money-back guarantee is shown on the product's price card, you may request a full refund within that window for any reason. Otherwise, refunds apply only where the product is materially broken or not as described and you contact us within 14 days.
  • Try & Own (one-time): this is a purchase, not a free trial or subscription. You pay a reduced one-time price and receive a working installation immediately; the source code is delivered after a set ownership period shown on the product. The money-back guarantee window shown on the price card (if any) is the only refund period. It is separate from, and shorter than, the source-unlock period. Once that window closes, the sale is final regardless of when the source code unlocks.
  • Subscriptions: cancellable at any time; access continues to the end of the current billing period. No partial refunds for unused time, except as required by law or where a money-back guarantee is shown on the price card, which applies within its window.
  • Custom engagements (advisory, builds, retainers): governed by the signed engagement contract.

Where a product offers a money-back guarantee, the number of days is shown on the product's price card and is the window within which you may request a refund. To request one, email hello@techalyst.com with your order details. We respond within one business day.

5. Licence to use products you buy

When you purchase a product from us (for example, Buy & Download or Try & Own), we grant you a licence to use it. You may use the product for your own purposes, personal or commercial, on as many of your own websites, servers, and installations as you like. There is no per-site or per-user limit for your own use.

You may not resell, redistribute, sublicense, rent, or give away the product or its source code, and you may not list it, or a modified version of it, for sale or download anywhere, or otherwise make it available to others in a way that competes with us. In short: use it as much as you want for yourself, but do not sell it or pass it on to others.

6. Intellectual property

All content, code, designs and trademarks on this website are owned by Techalyst or our licensors. You may not copy, modify or redistribute them without permission, except as expressly allowed by these Terms or applicable law.

For custom engagements, IP ownership and any source-code rights are set out in the engagement contract we sign for that project. What is transferred can vary by project and price, so the contract, not this page, is what governs.

7. Confidentiality

If we exchange confidential information, whether under NDA or as part of an engagement, we will handle it with the same care we expect from you.

8. Service availability

We work hard to keep our services and hosted products running, but we cannot promise they will always be available or error free. Services may go offline for maintenance, updates, or reasons outside our control, and we may change or discontinue features. Where a product is hosted by us, our responsibility is limited to making reasonable efforts to restore it, and we are not liable for any downtime, interruption, or loss that results.

9. Disclaimer

Our services and products are provided "as is" and "as available." We make no warranties beyond those required by law.

10. Limitation of liability

To the maximum extent permitted by law, our total liability for any claim arising out of or relating to our services is limited to the amount you paid us in the twelve months before the claim arose.

Once a product is delivered to you or hosted on your own server, how you deploy, configure, secure, update, and operate it is your responsibility. We are not liable for any loss or damage arising from your use of a product, including security breaches, hacking, data loss, downtime, or the consequences of how you run or modify it, or of how anyone you allow to use it relies on it. Our products are tools, and keeping your installation secure is up to you.

11. Indemnification

You agree to cover us (this is called an indemnity) against any claims, losses, damages, and reasonable legal costs that arise from how you use, host, configure, modify, distribute, or resell a product or service, from your breach of these Terms, or from a claim brought by anyone who uses or relies on a product you have deployed. In short, if your use of what we provide leads to a claim against us, you are responsible for it.

12. Termination

You may stop using our services at any time. We may suspend or terminate access if you breach these Terms or for other reasonable cause.

13. Governing law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any disputes will be resolved exclusively in the courts of Vancouver, British Columbia.

14. Third-party services

Our website and some of our products use third-party services. For example, the 1n1.ai voice assistant is embedded on parts of our site, and some products or projects we build for you may integrate it or other services. Your use of those services is also subject to their own terms and privacy policies. If you interact with the 1n1.ai assistant, your conversation is processed by 1n1.ai under its Privacy Policy and Terms. Where a product you buy or a project we deliver relies on a third-party service, you are responsible for any account with that service and for complying with its terms.

15. Changes

We may revise these Terms from time to time. Material changes will be posted on this page with a revised date at the top.
