Terms of Service

These Terms govern your use of the Techalyst Software Inc. ("Techalyst", "we", "us") website and any services or products you purchase from us. By using our services, you agree to these Terms.

1. Accounts

You are responsible for keeping your account credentials secure and for the activity on your account. Notify us immediately of any unauthorised use.

2. Acceptable use

Do not use our services to break the law, infringe others' rights, distribute malware, or interfere with the service for other users.

3. Subscriptions, payments and billing

Paid services are billed in advance on a one-time, monthly or annual basis as selected. You authorise us to charge your chosen payment method on each renewal until you cancel. All amounts are in USD unless stated otherwise.

4. Refund policy

• Subscriptions: cancellable at any time; access continues to the end of the current billing period. No partial refunds for unused time, except as required by law.
• One-time digital products: refundable within 14 days of purchase if the product is materially broken or does not perform as described, and you contact us within that window.
• Custom engagements (advisory, builds, retainers): refunds, where applicable, are governed by the engagement contract signed at the start of the project.
• To request a refund, email hello@techalyst.com with your order details. We respond within one business day.

5. Intellectual property

All content, code, designs and trademarks on this website are owned by Techalyst or our licensors. You may not copy, modify or redistribute them without permission, except as expressly allowed by these Terms or applicable law.

For custom engagements, IP ownership is governed by the signed engagement contract — full IP transfer is standard.

6. Confidentiality

If we exchange confidential information — under NDA or as part of an engagement — we will handle it with the same care we expect from you.

7. Disclaimer

Our services are provided "as is" and "as available." We make no warranties beyond those required by law.

8. Limitation of liability

To the maximum extent permitted by law, our total liability for any claim arising out of or relating to our services is limited to the amount you paid us in the twelve months before the claim arose.

9. Termination

You may stop using our services at any time. We may suspend or terminate access if you breach these Terms or for other reasonable cause.

10. Governing law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

11. Changes

We may revise these Terms from time to time. Material changes will be posted on this page with a revised date at the top.
